Terms & Conditions

This Partner Agreement Form ("Agreement") is made and entered into between Kandor, an online wellness marketplace platform operated by Body Corporate, a trading name of Body Collective Ltd ("Kandor"), and the individual or entity identified below as the "Partner."

1. Definitions

  • 1.1 "Kandor" refers to the online wellness marketplace platform operated by Body Corporate, a trading name of Body Collective Ltd.
  • 1.2 "Partner" refers to the individual or entity who wishes to sell their products or services on Kandor.
  • 1.3 "User" refers to the individuals or entities who purchase products or services from the Partner through Kandor.

2. Agreement Scope

  • 2.1 This Agreement establishes the terms and conditions under which the Partner can sell their products or services on Kandor.
  • 2.2 The Partner acknowledges and agrees that they are an independent contractor and not an employee, agent, or representative of Kandor or Body Collective Ltd.

3. Commissions and Payments

  • 3.1 Partners shall receive 70% of the total sales value (including taxes and fees) for each product or service sold through Kandor.
  • 3.2 Kandor shall absorb all transaction costs related to the sale of the Partner's products or services, including payment processing fees.
  • 3.3 Payments to the Partner shall be made instantly into their Kandor account.
  • 3.4 Partners may choose to receive their funds through two methods:
    1. (I) Stripe Account: Partners have the option to receive their funds at any time through their integrated Stripe account. Upon initiating the transfer, funds will be deposited directly into the designated Stripe account associated with the partner's Kandor account.
    2. (II) Monthly Bank Transfer: Alternatively, partners may opt to receive their funds on a monthly basis via bank transfer. Funds will be transferred to the partner's designated bank account on the 7th of each month, with the total amount earned during the previous month.
  • Partners shall indicate their preferred method of fund disbursement upon entering into this agreement and may modify their selection at any time by providing written notice to Kandor.

4. Orders, Bookings, Cancellations & Disputes

  • 4.1 Kandor shall manage all order disputes between Partners and Users. Disputes shall be resolved within 5 working days from the date of the order. If no dispute is made by the User within this time, the Partner will be paid as agreed upon in Section 3.
  • 4.2 If there is a dispute between the Partner and a User regarding an order or purchase, the User has 5 working days from the date of the booking to bring the dispute to Kandor's attention.
  • 4.3 In the event of a dispute, if the Partner's cancellation terms and conditions are unclear or not specified, Kandor will use the default order cancellation terms stated in Sections 4.4 and 4.5 to resolve the dispute.
  • 4.4 If a User cancels their order or purchase within 24 hours of the scheduled event, they will be charged the full cost, and the Partner will receive their payment as agreed upon in Section 3.
  • 4.5 If a Partner cancels an order or purchase outside of 24 hours of the scheduled event, all fees paid by the User will be returned, and the Partner shall not receive any payment for the cancelled booking.
  • 4.6 Kandor shall promptly investigate and resolve any disputes in a fair and impartial manner. The decision of Kandor in resolving the dispute shall be final and binding on all parties.

5. Product and Service Listings

  • 5.1 The Partner is responsible for creating accurate and detailed listings for their products or services on Kandor.
  • 5.2 The Partner shall ensure that all product or service information, including descriptions, prices, and images, is accurate, up-to-date, and in compliance with applicable laws and regulations.
  • 5.3 Kandor reserves the right to review and approve all product or service listings before they are made publicly available on the platform.
  • 5.4 All Partners will provide up-to-date, valid qualifications, certificates, and insurance documents to legally operate their business.
  • 5.5 Kandor & Body Corporate will not accept responsibility for any User claims and liabilities towards Partners. The Partner accepts full responsibility for User claims and liabilities to reach an honest resolution.

6. Customer Service

  • 6.1 The Partner agrees to provide timely and professional customer service to all users who purchase their products or services through Kandor.
  • 6.2 The Partner agrees to contact Users who purchase their services through Kandor within 24 hours to book their order into their schedule.
  • 6.3 The Partner shall promptly accept or reject Kandor orders within 24 hours of receiving order confirmation emails. Where orders have not been accepted or rejected during this time period, Kandor has the right to auto-cancel the order and return funds to the User.
  • 6.4 The Partner shall promptly respond to user enquiries, concerns, or disputes within a reasonable timeframe of 48 hours.
  • 6.5 In the event of a user dispute, Kandor may, at its discretion, withhold or refund payment to the Partner until the dispute is resolved.

7. Intellectual Property

  • 7.1 The Partner represents and warrants that they have the necessary rights, licenses, or permissions to sell the products or services listed on Kandor.
  • 7.2 The Partner retains all intellectual property rights in their products or services.
  • 7.3 Kandor is granted a non-exclusive, royalty-free, worldwide license to use the Partner's intellectual property solely for the purpose of promoting and marketing the Partner's products or services on the Kandor platform.

8. Termination

  • 8.1 Either party may terminate this Agreement at any time by providing written notice to the other party.
  • 8.2 In the event of termination, the Partner shall be entitled to receive any unpaid funds in their Kandor account for sales made prior to the termination date, subject to any applicable deductions or reserves.

9. Limitation of Liability and Disclaimer

  • 9.1 Kandor and Body Corporate, a trading name of Body Collective Ltd, shall not be responsible for the Partner's orders, bookings, sales, or any outcomes related to their products or services on the Kandor platform.
  • 9.2 Kandor and Body Corporate do not guarantee any level of orders, bookings, sales, or revenue for the Partner.
  • 9.3 The Partner acknowledges and agrees that their participation on the Kandor platform is at their own risk, and Kandor and Body Corporate shall not be liable for any losses, damages, or liabilities arising from the Partner's use of the platform.
  • 9.4 The Partner agrees to indemnify and hold harmless Kandor and Body Corporate, their officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with the Partner's use of the Kandor platform.

10. Governing Law and Dispute Resolution

  • 10.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
  • 10.2 Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).
